Welcome to Converza Technologies! These Terms and Conditions ("Terms") govern your use of our AI-powered voice assistants, SMS chatbots, and related services (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service. This agreement is between Converza Technologies ("Company", "we", "us", "our") and you, the user ("Client", "you", "your").
1. Description of Service Converza Technologies provides an AI-driven communication platform that includes, but is not limited to, automated voice agents for answering calls, AI-powered SMS chatbots for text-based interactions, appointment scheduling, information collection, and integration with third-party Customer Relationship Management (CRM) systems.
2. User Accounts To use the Service, you must register for an account. You agree to:

Maintain the security of your password and identification. You are responsible for all activities that occur under your account.

Notify us immediately of any unauthorized use of your account.
3. Fees and Payment

Billing: The Service is billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring, periodic basis (such as monthly or annually), depending on the subscription plan you select.

Payment: A valid payment method is required to process the payment for your Subscription. You shall provide us with accurate and complete billing information.

Non-Payment: If payment is not received, we reserve the right to suspend or terminate your access to the Service.

Taxes: All fees are exclusive of applicable taxes (e.g., GST), which will be added to your bill as required by law.
4. Acceptable Use Policy You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, or impair the Service. You agree to comply with all applicable laws regarding telecommunications, marketing, and data privacy. Prohibited activities include, but are not limited to:

Sending unsolicited communications, spam, or messages in violation of applicable laws (e.g., the Spam Act 2003 in Australia).

Harassing, threatening, or defrauding others.

Infringing upon the intellectual property rights of others.

Attempting to reverse-engineer, decompile, or discover the source code of the Service.

Uploading or transmitting any data that contains viruses, malware, or any other malicious code.
5. Intellectual Property

Our IP: The Service and its original content (excluding data provided by you), features, and functionality are and will remain the exclusive property of Converza Technologies.

Your IP: You retain all ownership rights to the data, information, and content you provide to the Service ("Client Data"). You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and modify your Client Data solely for the purpose of providing and improving the Service for you.

7. Term and Termination

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
8. Disclaimers and Limitation of Liability

"AS IS" Service: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

Limitation of Liability: To the maximum extent permitted by law, in no event shall Converza Technologies, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or goodwill, arising out of your use of the Service. Our total liability in any matter arising out of these Terms is limited to the amount you have paid to us for the Service in the preceding twelve (12) months.

Indemnification You agree to defend, indemnify, and hold harmless Converza Technologies and its employees, directors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use of the Service or your breach of these Terms.
10. Governing Law These Terms shall be governed and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts in that location.
11. Changes to Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms take effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
